End-user licence agreement
Version 1, [DATE]
This agreement is between you and [LEGAL NAME OF THE BUSINESS OR SOLE TRADER], trading as Monastery Audio, of [ADDRESS] ("we", "us"). It covers the Monastery Audio software you download or buy, including plug-ins, installers, presets, updates and documentation (the "Software"). By installing or using the Software you agree to these terms. If you don't agree, don't install it, and if you've paid, ask for a refund under our refund policy.
1. The licence
The Software is licensed, not sold. When you buy a licence we give you a personal, non-exclusive, perpetual licence to install and use the Software you bought:
- on up to three (3) computers that you own or control, used by you;
- for any purpose, including commercial recording, mixing, mastering, broadcast and live performance. Everything you make with the Software is yours, royalty-free.
An organisation (studio, school, company) needs one licence for each person who uses the Software, or a site licence by agreement with us.
2. Trial
You may use the trial version free of charge to evaluate the Software. After the trial period the Software keeps working with periodic interruptions until you activate a licence.
3. Not-for-resale (NFR) licences
Licences we give for review, education or promotion are marked NFR. They may not be sold or transferred, and are otherwise covered by these terms.
4. What you may not do
- Share your licence key or licence file, or use it on more computers than allowed.
- Rent, lease, lend, sublicense or resell the Software, except for a transfer under section 5.
- Remove, disable or work around the licence check, or reverse-engineer, decompile or disassemble the Software, except where the law allows this despite this restriction.
- Use the Software, its sound or its code to create a competing product, including by measuring or sampling it to build a model or emulation of it.
- Redistribute the Software or its parts (including images, presets and documentation).
5. Transfer
You may transfer a full (not NFR) licence to another person once, by asking us at [SUPPORT EMAIL]. After the transfer you must uninstall the Software, and the new owner takes on this agreement.
6. Activation and your data
The Software is activated with a licence key. Activation sends us your key, a one-way code derived from your computer's hardware ID (the "machine code"), your computer's name and the product being activated. We use them only to issue and manage your licence, as described in the privacy policy. After activation the Software does not contact us.
7. Updates
Updates within the same major version (for example 1.0 to 1.9) are free. We may offer a later major version as a paid upgrade. We aren't obliged to make updates, or to keep the Software working with future operating systems or hosts, but we'll try.
8. Ownership
We (and our licensors) keep all rights, title and interest in the Software, including copyright. "Monastery Audio" and the product names are our trade marks. Third-party components are listed in the Software's About box and are licensed under their own terms.
9. Warranty
We want you to be happy with the Software, which is why there is a free trial and a refund policy. Apart from that, and to the extent the law allows, the Software is provided "as is", without warranties of any kind, express or implied, including fitness for a particular purpose. Nothing in this agreement affects your statutory rights as a consumer.
10. Liability
To the extent the law allows, we are not liable for indirect or consequential loss (such as lost data, lost profits or lost work), and our total liability to you is limited to the amount you paid for the Software. Please keep backups of your projects. Nothing limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.
11. Ending the licence
If you break this agreement, your licence ends automatically and you must uninstall the Software. A refund also ends the licence.
12. Law
This agreement is governed by the laws of [COUNTRY / STATE], and the courts of [PLACE] have jurisdiction, unless the consumer law of your country gives you the right to use your local courts.
